THINK SHIFT GROW is a Learning and Development Consultancy, Solutions, and Coaching Practice.

1. Introduction: These Terms & Conditions outline the contractual agreement between THINK SHIFT GROW (referred to as "we," "us," or "our") and you, the client (referred to as "you" or "client"), regarding the services provided by our consultancy.

2. Services: We offer a range of learning and development services, including but not limited to instructional design, facilitation, coaching, and consultancy services. Specific details of the services, including scope, duration, and fees, will be agreed upon in a separate agreement, proposal, or statement of work. 

3. Client Obligations: As a client, you agree to:

• Provide accurate and complete information regarding your requirements and expectations.
• Cooperate and actively participate in the learning and development process.
• Adhere to the agreed-upon schedules and timelines.
• Respect agreed payment due dates.

4. Payment and Fees: Payment terms, including banking details for online payment, will be included in the Invoice. For 1st time new clients, payment up-front is required, after which additional Invoices should be settled within standard 30 days of the invoice date. Late payments may result in suspension of services or additional charges. 

5. Confidentiality: We treat all information provided by the client as confidential. We will not disclose confidential information to third parties without the client's written consent. The client is also expected to maintain the confidentiality of any proprietary or sensitive information shared during the engagement.

6. Intellectual Property Unless otherwise specified, written, or agreed upon, all intellectual property ownership rights for materials, content, and methodologies developed or shared during the engagement will remain the sole copyright property of Think Shift Grow. The client may only use these materials for the service paid for and agreed upon and not be shared, distributed, or used beyond this scope.

7. Cancellation and Rescheduling: We will notify clients as soon as reasonably possible if an engagement must be cancelled or rescheduled and work collaboratively to agree on new date(s) that suit the client. Clients must provide reasonable notice if they wish to cancel, reschedule, or modify services. Cancellation or rescheduling fees may apply, as specified below:

• Full fee: Client notice received 24 hours or less before the commencement of agreed service, or the client fails to attend on the agreed commencement date.
• 50% of the fee: Client notice received between 72 hours and 48 hours before the commencement of service.
• No fee payable: Client notice received more than 3 days (72 hours) before the commencement of service.

8. Termination: Either party may terminate the agreement for cause by providing written notice. Termination for cause may result from a breach of these terms or any written agreement. The specific agreement will detail termination terms and any applicable refunds or penalties.
 

9. Liability: Our liability for any loss or damage arising from our services is limited to the fees paid by the client for the specific services in question. We are not liable for any indirect, consequential, or incidental damages.

10. Governing Law: These terms and any associated agreements will be governed by and construed in accordance with the laws of Ireland, and any disputes will be subject to the exclusive jurisdiction of the courts in Ireland.

11. Changes to Terms: We reserve the right to update these terms from time to time. The most recent version will be provided upon request. Continued use of our services constitutes acceptance of any updated terms.
